这是一家若隐若现的医院。它有独立的场所，有自己的牌子。然而它并非独立法人，更没有医疗机构许可证。它由著名医院的王牌科室牵头，多家医院以“分院”形式提供床位设备“连锁加盟”，一度被称为 “医疗改革新路”。面对付费患者，它敞开大门；面临医疗纠纷，它却又隐身幕后……

面临诉讼，从“分院”到“集团医院”，都成了法律意义上的“影子”。
3月24日，法律工作者吴胜和他的亲戚吴义华，再次来到上海市静安区人民法院。他们是作为一起医疗纠纷的原告前来。一年多来，他们一直在努力将一家法院认为并不存在的医院告上法庭。
这家“并不存在的医院”开设于上海静安区中心医院之内，门口的招牌上书：华山神经外科(集团)医院静安分院(以下简称“静安分院”)。这个牌子同样挂在了静安区中心医院大楼第七层的楼梯口。这表明静安分院其实是静安区中心医院内的一所“院中院”。
当初吸引吴义华前来就诊的其实是招牌上的前半段儿：“华山神经外科”。作为上海最著名的医院华山医院的王牌科室，华山神经外科名声在外。但事实上，在“静安分院”，除了两间医生办公室和一间财务室，全部都是病房，床位仍显不够用，病房中多有加床。设施和条件也远比华山医院住院部简单。
4年前的3月19日，在安徽省立医院的医生建议下，安庆人吴义华来到上海华山医院神经外科为女儿吴文娟代诊。挂完号后，他被接诊医生告知，由于床位紧，可能很久也等不到手术，建议他到位于静安区中心医院的“分院”住院。
当天晚上，吴文娟被当地医院用救护车送到静安分院。吴文娟的就医经过在静安分院的住院病人中颇具共性：从外地慕名来到华山医院神经外科，被接诊医生告知没有床位，然后被转到静安分院做手术。
4位医生在静安中心医院手术室给吴文娟做了脑积液分流术。但主刀医生们的背景吴义华无从了解，他只知道其中有华山医院的医生，手术12天后，她被院方要求出院。据吴义华回忆，这里的病人手术后通常不会超过15天就被要求出院，他们要为新入住的病人们腾出床位。然而回家之后，吴文娟的病情却并没有好转，并且，随着时间的推移，她身上出现了多种后遗症。
吴义华开始并没有想到要跟上海的医院打官司。他第二次和静安分院打交道，是因为他的女儿曾在学校入过保险，女儿治病的费用，可以向保险公司提出理赔。
保险公司的律师先来到上海，他们想调取吴文娟的收费单据和病历。这件看似简单的事情就此变得复杂起来。他们先来到华山医院，结果被告知这里没有吴文娟的病历。这让熟悉医院管理规则的律师深感意外，因为按照相关规定，病历病史资料要在医院保存20年。收费单据显示吴文娟在华山医院看的病，这里怎么会没有她的病历？随后在静安区中心医院七楼，也就是静安分院，同样落了空。
最后，他们只带回了两张收费明细单，其中一张来自静安区中心医院，列出的是药费，总计一万八千余元，另一张是手术及相关耗材费用，来自华山医院，总计两万一千余元。
身份不明的医院
一周过后，经历多番交涉，吴胜终于收到了吴文娟的病史。他很快发现，数页病史背后，其实隐藏一家“影子医院”。
吴文娟的病史资料中，只加盖了一个椭圆形的公章，上面显示的字样是：上海华山神经外科集团医院静安分院病区章。这进一步表明，挂牌的静安分院确实存在。然而，收费的单据却出自华山医院，甚至连病史书写用纸页眉也是“复旦大学附属华山医院”字样。
此外，种种迹象表明，静安分院与静安区中心医院之间也并不像保安说的“租赁关系”那样简单，吴文娟的所有相关检查都在静安区中心医院完成，为此专门又办了一张静安中心医院的就诊卡。
静安分院究竟是一家什么样的医院？它究竟是否存在？若存在的话又是否合法？为回答这些问题，吴胜开始向上海市卫生部门求证。他得到了两个回复：在回答其华山神经外科集团医院静中分院是否存在时，答复是：2002年经上海市卫生局批准，上海市静安区中心医院与复旦大学附属华山医院合作组建上海市华山神经外科(集团)医院静安分院”。
这表明静安分院确实存在。
当吴胜进一步询问静安分院是否有医疗机构许可证时，上海市卫生局作了一个复杂得多的回答：上海市静安区中心医院为我局登记发证的医疗机构，有独立的医疗机构执业许可证。2002年我局发文《关于同意华山医院与静安区中心医院合作成立上海市华山神经外科(集团)医院静安分院(沪卫医政［2002］224号文)批准，上海市静安区中心医院与复旦大学附属华山医院合作组建上海市华山神经外科(集团)医院静安分院，上海市静安区中心医院增挂“上海市华山神经外科(集团)医院静安分院”的牌子。
吴胜认为，这个答复实际上没有回答他的问题。
在此之前，吴胜在上海市卫生信息网“医疗机构”一栏中，并没有查到名为“华山神经外科(集团)医院静安分院”的医院，不仅如此，连它的“总院” ——华山神经外科(集团)医院也同样查不到。
国务院1994年颁布实施的《医疗机构管理条例》规定，医疗机构执业，必须进行登记，领取《医疗机构执业许可证》。任何单位或者个人，未取得《医疗机构执业许可证》，不得开展诊疗活动。《医疗机构管理条例》还规定：医疗机构必须将《医疗机构执业许可证》、诊疗科目、诊疗时间和收费标准悬挂于明显处所。
无论是吴文娟还是任何其他曾在静安分院住院的病人及家属，均未曾看到过这家挂牌医院的《医疗机构执业许可证》。
综上种种，吴胜认为，对吴文娟实施手术的“上海市华山神经外科(集团)医院静安分院”，其实是一家不合法的“黑医院”。
“造福病人的改革”？
在上海医务界诸多人士看来，华山医院神经外科集团医院与其说是一家医院，不如说是以华山医院神经外科为中心的诸多医院的“科室”联合体。而要搞清它的身世，则需要追溯到9年前。
2000年3月，上海各大媒体刊登了一条消息：受超市等商业连锁经营的启发，上海成立了一家“以特色学科为纽带”的医院——华山神经外科集团医院。报道称，华山医院的神经外科“分立门户”，在其它3家医院开设了神经外科病房，派驻医疗专家组，“病人由华山医院住院部统一调配”。后来有相关报道称，“由一个科发展到一个‘集团医院’，这在世界上也很少有过”。
当年的上海市医院管理学术年会上，出现了一篇标题为《以特色学科为品牌、经营管理为纽带，探索医疗改革之新路》的重要论文(以下简称“特文”)，详细介绍了上海市华山神经外科(集团)医院的成立始末。这篇论文共有6名作者，其中排前三位的分别是当时的华山医院院长、副院长和神经外科主任。
据“特文”介绍，集团医院成立的主要背景，是由于华山医院神经外科“床位紧张”，“一些新技术在这里也得不到开展”，“一些业务拔尖医生常因受手术台数的限制，作用得不到充分的发挥”。而成立集团医院，则可以将总院的病人“分流”到各分院，从而解决后者“有床位而没有足够病人，有设备而没有学科骨干，有医生而没先进技术的困惑”。
华山神经外科集团医院成立一年后，静安区中心医院的神经外科加盟其中，静安区中心医院的七楼成为“华山神经外科集团医院静安分院”。作为分院中距离华山医院最近的一家，它成为集团医院在上海七家分院中的主要成员。
几年来，华山神经外科集团医院不断扩张。2006年3月，华山医院神经外科(集团)医院萧山分院成立，这种被业内称为“连锁店”的医院模式走出上海，开向全国。
据上海有关媒体报道，华山神经外科集团医院及各分院成立以来，实现了“扩张式发展”，年手术病人由原来的2000余例增长到8000余例，居全球第一，“从当年一个小科室发展成为全国乃至世界最大的神经外科集团医院”。“这是造福病人的改革”，3月23日，华山医院一名代理律师说。在她看来，正因为各分院的成立，使更多病人特别是外地病人能到华山医院看病，享受到名牌医院的医疗服务。
然而，被称为“连锁店模式”的华山医院神经外科系列分院，也遭到部分医界人士的质疑：外科手术是一种高度的集体行为，除了需要手术医生高超的技术团队，还必须配备有足够的设备，以及技术良好、足够数量的护理团队。分院如果不具备所需要的条件，不仅不能为病人提供优质的医疗服务，甚至会危及病人的生命安全。
无法立案的官司
在发现静安分院的“秘密”之后，作为法律工作者的吴胜，开始向上海市卫生部门投诉，要求查处这家不合法的“黑医院”。这个要求被工作人员毫不犹豫地驳回。“他们让我提供证明静安分院是‘黑医院’的证据，”吴胜对南方周末记者说，“我能有什么证据？作为医院它(静安分院)没有医疗机构许可证，却挂牌营业，这本身就是明证。”
吴胜随后以静安分院涉嫌“非法行医”为由向公安部门投诉，结果被告知对于“非法行医”需要由卫生行政部门认定。
吴胜最终选择状告医院。2008年，他将华山医院、静安区中心医院、静安分院三家医院均列为被告，向上海市静安区人民法院提起诉讼。然而法院却没有受理。理由是：静安分院无被告主体资格。
这意味着由上海市卫生局批准成立的一家医院却不是法院认可的诉讼主体，无法承担民事责任。
诉状被驳回之后，吴胜作了妥协，他对被告作了修改，删除了静安分院，却将华山医院的两名医生列为被告。在吴看来，告医生的原因是，其中一人明明知道静安分院不是一家合法医院，却充当“医托”将病人转去治疗，另一人则在明知静安医院没有医疗机构许可证的情况下，仍然在该医院为病人主刀做手术，两人均涉嫌违法。
直到目前，吴胜仍在等待已经等了一年的静安区法院立案通知。据他介绍，按相关规定，法官曾试图调解此案，但被拒绝。还曾按医疗纠纷案件惯例将此案例先后交给两个区级医学会做医疗事故鉴定，但均被退回。吴胜给这两家单位都写了信，他认为此案例涉及非法行医，不属医疗事故鉴定范围。
尽管静安分院已经不是被告，但吴胜则仍试图以自己的法律知识来分析这家难以琢磨的“影子医院”：“它不是独立法人，不能独立承担民事责任，更没有医疗机构执业许可证；它的手术医生来路不明，护理人员来自于静安区中心医院；它没有独立的手术室、病案室，没有药品、没有检查设备，除了一个主管部门允许挂出的牌子，它其实什么都没有。然而，它身后却有一双看不见的手，在这双手的操控下，它能组织对病人的手术，能收到巨额的医疗费，能回避掉那些可能惹上的麻烦……”
这到底是一所什么样的“医院”？吴胜承认，他仍然找不到答案。
“分院模式”还是“走穴”合法化
被华山医院一位代理律师称为“造福病人”的分院现象，在安徽少年杨帆身上却走向了反面。
杨帆曾经是“华山神经外科集团医院静安分院”的病人。这个12岁的小学生被怀疑脑子里生了一个瘤。在当地一家三甲医院的医生建议下，全家人来到华山医院求医，被接诊医生介绍到静安分院住院。
3月11日，在静安中心医院6楼的手术室内，杨帆被主刀的华山医院医生做了“右丘脑病变切除术”。事后证实，这次手术并没有切除其脑中的肿瘤，甚至也未能诊断出他的病情。
问题出现在一次至关重要的病理切片检查上。
3月11日手术中，医生将从杨帆脑中取出的一块病理切片交给杨勇，让其以最快速度到华山医院本部作“快速冰冻检查”，以判断杨帆脑中的肿瘤是良性还是恶性。这种特殊检查必须到华山医院本部才能做。
杨帆的父亲杨勇称，在他打车赶往华山医院后，病理科医生发现他拿来的切片是浸在水里的，并未采取冰冻固定处理，并当场电话告知手术医生“取材失败”。
等杨勇返回静安中心医院后，发现手术已经结束，他被医生告知“手术顺利”。十一天后，杨帆被静安分院要求出院。
出院十天后，杨帆病情发作，此后不断恶化，最终不治。后经司法鉴定，杨帆脑中未被切除的肿瘤正是主因。
杨帆的代理人认为，杨帆这次病理切片取材的失败，其实暴露出“分院”存在已久的弊端：医疗行为，尤其是外科手术，是一种高度的集体行为，是高超的技术与高科技设备的完美结合。静安分院不能做快速冰冻检查，没有神经导航系统，就不应做这样的手术。“杨家是慕华山之名来上海，交纳了华山的费用，却未得到华山真正的医疗服务。”
离奇的是，在后来杨勇状告华山医院时，院方竟提供出一张出自静安区中心医院的病理切片报告，对杨帆病情的诊断结论是：炎性病变可能，未见肿瘤。值得一提的，是该报告单上所标出的收到日期是3月14日，而杨帆的手术日期是3月11日。这显然有违病理切片报告检查的常识——任何手术病人的病理切片在取出后都要立即送检。
3个月后，一名浙江永康的患者住进静安分院。在静安分院实施手术后当晚在做CT检查时病情突然恶化，然而静安分院却给病危中的病人办理了出院手续，导致在返回家乡的途中离世。他的妻子章秀枝是一位有着多年经验的老护士，她坚持认为，是手术后的护理不当导致他丈夫的离去。
除了静安分院，华山神经外科集团医院在上海还有六家分院，上海其他一些医院也分别办起了自己的分院，分院模式在北京等城市也已推开。
上海市医保局原监督员陈晓兰称，形形色色的医院办分院现象虽然模式各有不同，但实质多是大医院个别所谓专家“走穴”手术的合法化，打着名牌医院旗号的“分院”所提供的医疗服务和配置设备往往名不符实。
陈晓兰认为，由于“分院”背后的复杂关系，分院往往只管赚钱却不承担责任，病人受害后往往无法起诉医院，起诉了也很难胜诉。分院的出现，不利于医院的资金管理，乱收费也更难监管。这也使得一些“分院”一方面事故频发，另一方面经济效益却越来越好。“这样下去，将导致医疗秩序混乱，社会无法真正和谐。”
杨勇事后把在上海看病的遭遇归结为“医疗欺诈”，他为此打了若干个官司，但和吴胜一样，他始终无法将静安分院这家真实存在却没有医疗机构执业许可证的医院告上法庭。
